• Swiggy Limited announced on May 02, 2025, that its Nomination and Remuneration Committee approved the allotment of 20,35,33,747 equity shares.
• These shares were allotted pursuant to the exercise of employee stock options under various Swiggy ESOP Plans (2015, 2021, 2024).
• The allotment includes 8,629 shares to eligible employees under Swiggy ESOP Plan 2015 and 20,35,25,118 shares to the Swiggy Employee Stock Option Trust under Swiggy ESOP Plan 2015, 2021 & 2024.
• Consequent to this allotment made on May 02, 2025, the paid-up equity share capital of the Company has increased from ₹2,29,01,13,145 (divided into 2,29,01,13,145 equity shares of ₹1/- each) to ₹2,49,36,46,892 (divided into 2,49,36,46,892 equity shares of ₹1/- each).
• The newly allotted shares rank pari-passu with the existing equity shares.
• The company is in the process of completing the necessary formalities for the listing of the said allotted shares.

Asahi India Glass Limited has entered into a Share Subscription and Shareholders’ Agreement on 2nd May, 2025, to invest in M/s Boond Solar SPV - A Private Limited (BOOND Solar).

• The company will invest a total amount of upto ₹46,62,000 (Rupees Forty Six Lac Sixty Two Thousand Only).
• This investment represents approximately 26% of the total paid-up equity capital of BOOND Solar.
• Following the acquisition, BOOND Solar will become an Associate of Asahi India Glass.
• BOOND Solar is engaged in the business of establishing, developing, operating, and managing Rooftop and Ground Mounted Renewable Energy Plants.
• The object and impact of the acquisition is to comply with regulatory requirements for captive power consumption under Indian Electricity laws. Asahi India Glass will acquire and maintain the 26% stake throughout the term of the agreement.
• The acquisition is expected to be completed within 9-12 months.
• The consideration is cash.
• The cost of acquisition is ₹46,62,000 for 4,66,200 equity shares of ₹10 each.
• BOOND Solar is a newly incorporated company (Date of Incorporation: 21/11/2024) and its first annual financial statements are yet to be prepared.

Apollo Micro Systems Limited (APOLLO) announced on 2 May 25 that its subsidiary, Apollo Defence Industries Private Limited (ADIPL), has executed a Share Purchase Agreement to acquire 100% equity shareholding of IDL Explosives Limited.

• IDL Explosives Limited, a wholly owned subsidiary of GOCL Corporation Limited (part of the Hinduja Group), is engaged in the manufacture and supply of bulk explosives used in mining and infrastructure projects.
• The acquisition is for a cash consideration of ₹107 crores.
• ADIPL will acquire 78,65,000 equity shares of IDL Explosives at a price of ₹136.04 per share, totaling ₹107 crores, subject to adjustments.
• The primary objective of this acquisition is to augment Apollo's manufacturing capabilities in Defence Explosives to support growing indigenous demand across artillery, missile, and other high-impact defence domains.
• This transaction aligns with Apollo's long-term vision of becoming a Tier-I OEM Weapon Systems Supplier.
• As per IDL Explosives Limited's last audited financials for FY 2023-24, the company reported a turnover of ₹623 crores and a net worth of ₹10 crores.
• Historical turnover for IDL Explosives was ₹78,162.51 lakh in FY 2022-23 and ₹39,538.41 lakh in FY 2021-22.
• The acquisition is not a related party transaction.
• The transaction is subject to customary closing conditions and regulatory/corporate approvals.
• Completion of the acquisition is expected within 2 to 3 months.
