• Vidula Consultancy Services Limited and Rambara Trading Private Limited, both part of the promoter group of Mangalam Cement, have notified the company about an inter-se transfer of shares.
• Pilani Investment and Industries Corporation Ltd. will transfer 2,50,000 equity shares to Vidula Consultancy Services Limited and 2,50,000 equity shares to Rambara Trading Private Limited.
• A total of 5,00,000 shares, representing 0.91% of the total capital, will be transferred.
• The transfers are part of an internal restructuring within the promoter group and will be executed at the prevailing market price.
• The transaction is expected to occur on or after 26th May, 2025.
• Following the transfer, Vidula Consultancy Services Limited's shareholding will increase from 35.81% to 36.72%, holding 1,00,97,620 shares.
• Rambara Trading Private Limited's shareholding will increase from 36.72% to 37.63%, holding 1,03,47,620 shares.
• Pilani Investment and Industries Corporation Ltd.'s shareholding will decrease.

• For the quarter ended 31st March 2025:

  • Revenue from Operations stood at ₹448.51 crore.
  • Profit Before Tax was ₹28.41 crore.
  • Net Profit after Tax was ₹18.16 crore.
  • Basic and Diluted Earnings Per Share (EPS) was ₹6.40.

• For the year ended 31st March 2025:

  • Revenue from Operations was ₹1,786.26 crore.
  • Profit Before Tax was ₹112.13 crore.
  • Net Profit after Tax was ₹72.73 crore.
  • Basic and Diluted Earnings Per Share (EPS) was ₹25.65.

Mangalam Cement Limited announced the outcome of its Board of Directors meeting held on 10th May 2025.

• The Board approved the Audited Standalone Financial Statements and Financial Results for the quarter and financial year ended 31st March 2025.
• The auditors have issued reports with unmodified opinion.
• For the financial year ended 31st March 2025, the company reported a Net Profit of ₹45.06 crore (₹4506.31 lakhs), down from ₹59.72 crore (₹5971.66 lakhs) in the previous year.
• Revenue from Operations for FY25 stood at ₹1680.99 crore (₹168098.78 lakhs), compared to ₹1725.48 crore (₹172548.09 lakhs) in FY24.
• Basic and Diluted EPS for FY25 was ₹16.39, down from ₹21.72 in FY24.
• For the quarter ended 31st March 2025, Net Profit was ₹16.91 crore (₹1690.87 lakhs), compared to ₹17.28 crore (₹1727.88 lakhs) in the same quarter last year.
• Revenue from Operations for Q4 FY25 was ₹502.90 crore (₹50289.64 lakhs), an increase from ₹437.31 crore (₹43730.52 lakhs) in Q4 FY24.
• The Board has recommended a dividend of ₹1.50 per equity share of ₹10/- each for the financial year ended 31st March 2025. This recommendation is subject to approval by shareholders at the upcoming Annual General Meeting (AGM).
• The Board also recommended the appointment of Pinchaa & Co., Company Secretaries, as Secretarial Auditors for a term of five years, from FY2025-26 to FY2029-30, subject to shareholder approval.

Mangalam Cement Limited has announced the appointment of Shri Ajit Cherian Kuruvilla (DIN: 11087659) as a Non-Executive Independent Director.

• The appointment is effective from 3rd May, 2025.
• His term is for five years, from 3rd May, 2025 to 2nd May, 2030 (First Term).
• The appointment was approved by the Board of Directors via Circular Resolution on 3rd May, 2025, and is subject to approval by the company's shareholders at the ensuing general meeting or through postal ballot.
• Shri Kuruvilla is a B. Com (Hons), ACA with approximately 29 years of experience, including 2 years in Accounts & Finance and about 27 years in the banking sector. He previously served as the Eastern India Head of HDFC Bank for 22 years, heading the Transactional Banking Group for 5 years and subsequently serving as the Corporate Banking Head of Eastern India.
• He is not related to any other Director of the Company and holds nil shares.
