Tejas Networks Limited has communicated to its shareholders regarding the tax deduction on the proposed dividend for the financial year ended March 31, 2025.

• The Board of Directors recommended a dividend of ₹ 2.50 per Equity Share of ₹ 10/- each (25%) for FY 2024-25 at their meeting on April 25, 2025.
• This dividend is payable only after approval by the shareholders at the upcoming Annual General Meeting (AGM) scheduled for June 27, 2025.
• As per the Income Tax Act, 1961, as amended by the Finance Act, 2020, dividend income is taxable in the hands of shareholders.
• The company is required to deduct tax at source (TDS) at the time of paying the final dividend, if declared at the AGM.
• The TDS rate will vary based on the residential status of the shareholder and the documents submitted.
• A valid Permanent Account Number (PAN) is mandatory. Tax will be deducted at a higher rate of 20% if a valid PAN is not recorded or if the PAN is invalid/inoperative (not linked with Aadhaar).
• Shareholders holding physical securities must update their PAN, nomination, contact details, mobile number, bank account details, and specimen signature with the Registrar and Transfer Agent (RTA) by April 1, 2024, to be eligible for electronic payment of dividend as per SEBI circulars.
• For Resident Shareholders, the general TDS rate is 10%. No tax deduction is applicable if the estimated total dividend income for FY 2025-26 does not exceed ₹ 10,000 for resident individuals, or upon submission of Form 15G/15H (for eligible individuals) or other applicable exemption documents/certificates (like Section 197 order, documents for Insurance Companies, Section 196 entities, MFs, Business Trusts, AIFs, Provident/Superannuation/Gratuity Funds, NPS Trust).
• For Non-resident Shareholders, the TDS rate is 20% or the applicable Tax Treaty rate (whichever is lower), increased by surcharge and cess wherever applicable. To avail the Tax Treaty rate, shareholders must submit required documents including a self-attested copy of the Tax Residency Certificate (TRC) for FY 2025-26 or calendar year 2025, electronic Form 10F, and a self-declaration confirming no Permanent Establishment (PE) in India or that the income is not attributable to a PE.
• Tax residents of Notified Jurisdictional Areas as defined u/s 94A(1) of the Act will be subject to 30% TDS.
• Certain entities like Sovereign Wealth Funds and Pension funds notified u/s 10(23FE) and ADIA subsidiary u/s 10(23FE) may be eligible for NIL TDS upon submission of required documentation.
• The deadline for submitting tax-related documents (online via the provided link or physically to the RTA) to determine the appropriate TDS rate is June 16, 2025, by 05:00 PM (IST). Documents received after this date will not be considered for tax determination.
• Shareholders whose tax is deducted at a higher rate due to non-submission of documents can claim a refund by filing their return of income.
• A soft copy of the TDS certificate will be emailed to shareholders after the dividend payment, and the TDS credit will be reflected in Form 26AS.
• Shareholders are also requested to ensure their bank account details linked to their Demat account are updated to facilitate timely dividend credit.

Tejas Networks announced that Shri Jyotiraditya Scindia, Union Minister of Communications, launched its 1.2 Tbps single wave coherent DWDM solution at the Bharat Telecom 2025 event in New Delhi on 6 May 2025.

Key highlights:

• The company is also showcasing its innovative 5G Massive MIMO radio and other flagship wireline products at the event.
• These include 10Gbps symmetric fiber broadband access using XGS-PON technology and high-capacity IP/MPLS access and aggregation routers.
• Commenting on the occasion, Union Minister Shri Jyotiraditya Scindia praised Tejas Networks for leading innovation and contributing to 'Atmanirbhar Bharat' in the telecom sector.
• Arnob Roy, COO of Tejas Networks and Chairman of TEPC, thanked the Minister and highlighted that the new DWDM product enables multi-fold network capacity growth cost-effectively.

• Tejas Networks Limited reported Q4 FY25 revenue of ₹1,907 crore (1.4x YoY) and FY25 revenue of ₹8,923 crore (more than $1 billion, 3.6x YoY).
• Q4 FY25 Profit After Tax (PAT) was negative ₹72 crore, while FY25 PAT was ₹447 crore.
• Q4 profitability was impacted by provisions of about ₹117 crore for inventory obsolescence and write-down of intangible assets under development (₹181 crore for full year).
• The company shipped over 100,000 sites for the BSNL 4G project, calling it one of the largest single-vendor RAN networks delivered in record time.
• The Board recommended a dividend of 25% (₹2.5 per share) for FY25, subject to shareholder approval.
• Order book at the end of Q4 FY25 stood at ₹1,019 crore.
• Key financial indicators at Q4 end: Inventory ₹2,367 crore, Trade Receivables ₹4,884 crore, Cash ₹827 crore, Borrowings ₹3,269 crore, Net Debt ₹2,442 crore.
• Received PLI incentives of ₹123 crore for FY24 and the first tranche of ₹189 crore for FY25.
• Signed a strategic technology collaboration agreement with NEC Corporation Japan for advanced wireless technologies, including joint go-to-market.
• Company management noted FY25 was a milestone year driven by the BSNL project and that FY26 will have a different revenue profile compared to FY25, to be seen in the perspective of previous years like FY24 (~₹2,500 crore revenue).
• They highlighted an expanded product portfolio (5G, 800Gbps/1.2Tbps DWDM, 10G PON) and growing addressable market.
• Domestic opportunity pipeline includes large government projects like the BSNL add-on, Rail Kavach, and BharatNet, many in advanced stages of discussion and hoped to close in the next one or two quarters (Q1 FY26).
• International business is expected to get a significant boost from the NEC partnership and expanded global sales footprint.
• Management stated that while write-offs are part of the product business, the Q4 provision magnitude was significant and not expected to be as large going forward.

• Tejas Networks announced collaborations with Intel, HMD, and Lava International to integrate its Direct-to-Mobile (D2M) technology into laptops and mobile/feature phones.
• D2M is a broadcasting technology developed as part of a proof-of-concept at IIT Kanpur that uses terrestrial TV broadcast airwaves to deliver live TV, video, audio, and text messages (multimedia content) directly to devices without requiring Wi-Fi or internet service.
• The technology focuses on delivering content of public and national importance, such as educational programming and emergency alerts, supporting the vision for universal education and a 'Viksit Bharat'.
• Collaboration with Intel: Tejas Networks and Intel have successfully integrated D2M capability into Intel-powered laptops. The design uses an Intel processor, an embedded antenna, and Tejas – Saankhya SL-3000 SDR chipset. This lays the foundation for integrated devices ready to deliver education cost-effectively without connectivity barriers.
• Collaboration with HMD: HMD announced plans to launch D2M phones in India using Tejas technology (Saankhya Labs SL-3000 chipset) ahead of large-scale field trials, aiming to meet mass consumer demand.
• Collaboration with Lava International: Lava International, Tejas, and Free Stream Technologies are joining hands to manufacture India’s first D2M-enabled feature phones. Designed by Lava's R&D with Tejas engineers, these phones will be built on the MediaTek MT6261 platform integrated with Saankhya’s SL3000 chip. Features include a 2.8” QVGA display, a dedicated UHF antenna, GSM functionality, and a 2200mAh battery, targeting underserved populations with content delivery without internet.
• The end-to-end indigenously developed technology, powered by the SL-3000 SDR chipset, has been under test in live networks by Prasar Bharati in partnership with IIT Kanpur and Tejas Networks over the last few years.
• These announcements were made ahead of the World Audio Visual & Entertainment Summit (WAVES) 2025 in Mumbai.
• Parag Naik, Executive Vice President, Tejas Networks, commented, “With the integration of D2M chipsets into Intel-powered laptops, we are unleashing a revolutionary leap in educational content delivery... D2M is a scalable, cost-effective, and resilient system that ensures inclusive, high-quality learning, no matter where the learner is situated.” He also stated regarding the phone collaborations, “The phones are powered by Saankhya Labs’ award winning SL-3000 chipset, which is the foundational D2M enabler. We have also developed the Core Network platform that will enable the delivery of targeted Ads, CDN offload, educational content, emergency alerts, and other applications, furthering PM Modi’s vision of a Digitally Empowered India.”
• Gokul Subramaniam, President Intel India, said, “D2M technology, as part of our collaborative effort with Tejas Networks, opens a range of new possibilities to deliver content through personal computing and edge devices. We believe the possibilities with this capability in a PC are far reaching for education in India and globally.”
• Sanjeev Agarwal, Executive Director, Lava International Limited, stated, “With D2M technology, we can now reach last-mile users without any internet requirements. It is a landmark innovation that will enhance safety and security for our citizens... Post the trials, we will begin manufacturing at a large scale.”

• The Board of Directors of Tejas Networks Limited, in a meeting held on April 25, 2025, approved the Audited Financial Results (Standalone and Consolidated) for the quarter and year ended March 31, 2025.
• The statutory auditors, M/s. Price Waterhouse Chartered Accountants LLP, have issued an Audit Report with an unmodified opinion on the financial results for the year ended March 31, 2025.
• Considering the company's performance and completion of 25 years of operations, the Board recommended a dividend of ₹2.50 per equity share, subject to approval by the Members at the ensuing Annual General Meeting (AGM).
• The Board approved the allotment of 26,459 Equity Shares upon exercise of Stock Options/Restricted Stock Units by eligible employees/management under respective plans.
• Consequently, the paid-up share capital increased from ₹1,76,32,24,400 (17,63,22,440 shares) to ₹1,76,34,88,990 (17,63,48,899 shares) of ₹10/- each.
• The Board also approved the grant of 1,28,700 Restricted Stock Units at a face value of ₹10/- each to Key Management Personnel under Tejas Restricted Stock Unit Plans.
• The 25th Annual General Meeting of the Members will be held on Friday, June 27, 2025, at 3:00 P.M. (IST).
• The Register of Members and Share Transfer Books will remain closed from June 20, 2025, to June 27, 2025 (both days inclusive) for the purpose of the AGM.
